Entered into by and between ABC PTY LTD (hereinafter referred to as “the Client”) And (Name) (hereinafter referred to as “the Consultant”) 1. RECORDAL The Client wishes to utilise the service of the Consultant to perform the assignments as set hereunder for a fixed period of time, as set out hereunder; The Consultant is prepared to render such service on the conditions and for the period as described herein; The Parties wish to detail in this Agreement all the general rights and obligations towards each other herein. THEREFORE THEY AGREE AS FOLLOWS: 2. DEFINITIONS 2.1 Unless it appears otherwise from the context: 2.1.1 “Confidential Information” shall include all information about The Client’s business, suppliers, sponsors, campaign and development information and programmes and which shall also include any confidential information regarding the Consultant’s dealings with and relationship to the Client, any http://www.laboursmarttraining.co.za COPY RIGHT RESERVED 2 of its stakeholders, service providers, external partners, directors, employees, agents, suppliers, foundations or associations, or any other confidential information whatsoever in connection with the Client which may have come to the knowledge of the Consultant, in the course of any past, present or future dealings or agreements with the Client or any of the Client’s stakeholders, service providers, external partners, directors, employees, agents, suppliers, foundations or associations. Excluded from the foregoing definition is any information which at the time of its disclosure to the Consultant is part of the public domain; or which subsequently becomes part of the public domain through no fault or failure of the Consultant; or which can be shown by the Consultant to have come into the possession of the Consultant by disclosure of a third party through no fault of the Consultant.
